Alexander claims that former Take-Two Interim CEO Richard Roedel devised a "ruse" in 2004 to "maliciously" redefine the oral employment agreement between himself and the company, cheating him out of compensation.
Alexander's complaint alleges breach of contract, breach of the implied covenant of good faith and fair dealing and unjust enrichment and accounting.
According to the filing, Alexander purchased a 50 percent equity interest in the games distribution company Jack of All Games, becoming the firm's president. Take-Two bought the company in 1998 and became a Take-Two board member.
He resigned the next year, and after his non-compete agreement with Take-Two expired, worked for a PC software distributor and in 2003 formed games distribution firm Game Ballers.
In 2003, former Take-Two execs, including now convicted felon and ex-CEO Ryan Brant, allegedly took action to bring Alexander back into the company "to capitalize on his relationships with both publishers and retailers."
The complaint stated, "Over the course of 60 days, Brant, [Jack of All Games president David] Rosenbaum, Alexander and his father, Nicholas Alexander, finalized the key terms of Alexander's employment agreement with Take-Two and Jack of All Games via telephone and e-mails from and to Alexander's place of business in Las Vegas, Nevada."
Alexander claims his employment agreement included a monthly expense allowance of $25,000, annual salary of $240,000 and a 20 percent annual raise for three years, stock options, royalties, a onetime cash bonus of $500,000 and health and life insurance.
Before the finalization of the agreement, Alexander had already begun working on developing new business relationships for Take-Two, his suit claimed.
After Brant left Take-Two in 2004, Roedel became interim CEO, allegedly scheming to "replace the Employment Agreement with a newly proposed joint venture agreement so that Alexander's relationship with Take-Two and Jack of All Games and compensation package would be re-defined."
